Affiliate Program Terms

These Partner Program Terms (“Partner Terms”) govern participation in the Renova Labs LLC referral / affiliate program (the “Program”) via renovawellnesss.com. By enrolling, you (“Partner”) agree to these Partner Terms, which incorporate our Terms & Conditions, Privacy Policy, and Research Use Only Policy.

1. Eligibility

You must be at least 21 years old and legally able to enter a contract. Employees and their immediate households are not eligible to earn commissions on their own purchases. We may approve, decline, or remove any Partner at our discretion.

2. Independent relationship

Participation does not create an employment, agency, partnership, or joint-venture relationship. You are an independent party and have no authority to make representations, warranties, or commitments on behalf of Renova Wellness.

3. Commissions

Partners earn a commission on qualifying orders attributed to their unique referral code, starting at 20% of the referred customer’s first order and 10% recurring on that customer’s subsequent orders. Commission rates increase with referred revenue up to 30% first-order and 15% recurring. A “qualifying order” is a paid order that has been delivered and not refunded, charged back, or canceled. Commissions on refunded or charged-back orders are reversed.

4. Attribution

Referrals are tracked via your referral link and code. Where multiple Partners could claim an order, the most recently stored valid code controls. We do not guarantee attribution where a visitor blocks cookies/local storage or where code data is lost for reasons outside our control.

5. Payouts

Commissions accrue in your dashboard and are paid monthly via PayPal, subject to a $1 minimum balance, after an order-clearance period. Earnings may be issued as Renova store credit and via additional payout methods as the Program expands. Because payouts run through PayPal, PayPal handles applicable tax reporting (Form 1099-K); Renova does not collect W-9 or W-8 forms, your Social Security number, or bank details. You are responsible for all taxes on your commissions and for reporting your own income. Unpaid balances below the minimum roll forward.

6. Promotion rules

All promotion must be truthful, claim-free, and consistent with the research-use-only nature of the Materials. You may not: make any medical, therapeutic, diagnostic, or dosing claims; imply human or animal use; bid on Renova trademarks in paid search; use spam, unsolicited messaging, or misleading subject lines; misrepresent your relationship with Renova; offer unauthorized rebates; or promote on sites with infringing, adult, or illegal content.

7. Brand-asset license

We grant you a limited, revocable, non-exclusive, non-transferable license to use Renova names, logos, and approved marketing assets solely to promote the Program in compliance with these Partner Terms and our brand guidelines. All goodwill inures to Renova. The license ends when your participation ends.

8. Term & termination

Either party may end participation at any time. We may suspend or terminate a Partner and withhold or reverse unpaid commissions for any violation of these Partner Terms, fraud, or abuse. Sections that by their nature should survive termination will survive.

9. Disclaimers & limitation of liability

The Program is provided “as is.” To the maximum extent permitted by law, Renova Wellness is not liable for indirect, incidental, special, or consequential damages, and our total liability relating to the Program will not exceed the commissions paid to you in the three months preceding the claim.

10. Dispute resolution

Any dispute arising from the Program will be resolved by binding arbitration on an individual basis, seated in Bexar County, Texas, under the Commercial Rules of the American Arbitration Association. You waive any right to a jury trial or class action.

11. Changes

We may modify these Partner Terms, commission rates, or the Program at any time by posting an updated version with a revised effective date. Continued participation constitutes acceptance.
